Terms of Service

1. Acceptance of Terms

By creating an account and using Acuity Studio ("we," "us," or "our"), operated by Acuity Platforms Inc., you agree to be bound by these Terms and our Privacy Policy. You must be at least 18 years old to register and use the Service. If you do not meet this requirement or disagree with any part of these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years old to use Acuity Studio. By using the Service, you represent and warrant that you:

  • (a) are at least 18 years of age;
  • (b) have the legal capacity to enter into this agreement;
  • (c) will comply with all applicable laws and regulations; and
  • (d) are not barred from using the Service under any applicable law.

3. Description of Service

Acuity Studio operates a video capture platform that enables users to record and submit egocentric video data. Submissions are used for research, product development, commercialisation, and resale. We may modify, suspend, or discontinue the Service or any part of it at any time without notice or liability.

4. Account Registration

To access the Service, you must create an account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account. We may suspend or terminate your account at our discretion.

5. User Submissions

You retain ownership of the videos you submit. However, by uploading any content, you grant Acuity a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, process, adapt, publish, transmit, distribute, sell, commercialise, and display your content. You waive all moral rights to the extent permitted by law.

Where your submissions contain personal data, we will process such data in accordance with GDPR, the UK Data Protection Act 2018, and our Privacy Policy. This includes your rights to access, rectify, restrict, or erase personal data, and to object to certain forms of processing. If you exercise your right to erasure, we will delete or anonymise your personal data unless we have a lawful basis to continue processing (for example, compliance with legal obligations or for reasons of substantial public interest).

You acknowledge and agree that Acuity may permanently retain and use anonymised or aggregated forms of your submissions for research, product development, commercialisation, and resale. Such anonymised or aggregated data is not considered personal data under GDPR and cannot be deleted upon request.

6. Data Usage and Sharing

We may anonymise and aggregate user data. We reserve the right to use, share, license, commercialise, and sell such data globally, including to third-party partners, without further notice or compensation to you.

We process personal data only in accordance with our Privacy Policy, GDPR, and other applicable data protection laws. Users have rights under GDPR, including the right to access, rectify, or erase personal data, the right to restrict processing, and the right to data portability.

7. Prohibited Conduct

You may not:

  • (a) upload content that is illegal, obscene, or infringing;
  • (b) include personally identifiable information without proper consent;
  • (c) interfere with the platform; or
  • (d) engage in fraudulent, abusive, or unlawful activities.

Violations may result in termination and legal action.

8. Intellectual Property

All platform-related intellectual property, including but not limited to software, branding, and design, belongs to Acuity. You may not copy, reproduce, or distribute any part of the Service without written permission.

9. Payments

Use of the Service does not entitle you to receive any compensation from Acuity. Unless expressly agreed in writing, Acuity has no obligation to pay you for submissions, participation, or use of the platform. All payments, if any, are at Acuity's sole discretion.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Acuity Platforms Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall be limited to the minimum amount permitted by applicable statute. Nothing in these Terms shall exclude or limit liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence or for fraud.

12. Indemnification

You agree to indemnify, defend, and hold harmless Acuity Platforms Inc., its affiliates, officers, employees, and licensors from any claims, damages, losses, and expenses arising out of your use of the Service or your violation of these Terms.

13. Modifications

We may update these Terms at any time. We may notify you via email or app notifications, and your continued use of the Service after updates constitutes acceptance.

14. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Rights granted to Acuity under these Terms survive account termination.

15. Governing Law & Arbitration

These Terms are governed by the laws of England and Wales. Any disputes will be resolved through final and binding arbitration under the LCIA rules. You waive the right to participate in class actions or jury trials, to the extent permitted by law.

16. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Acuity Platforms Inc. regarding the Service and supersede all prior agreements.
